Mindify Cortex

1. Eligibility

You must be at least 13 years old to use Mindify Cortex. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

Mindify Cortex is an AI-native engineering workspace that integrates your repositories, workflows, and knowledge base to accelerate development. The Service is offered under a hybrid subscription and usage-based pricing model across five tiers:

• Free— 1,000 AI credits per month, 5 agent runs, basic VS Code extension, and efficient AI models. Subject to a hard monthly credit cap with no overage.
• Pro— $20/month (or $204/year). 2,000 AI credits, 20 agent runs, access to standard and premium AI models, optional pay-as-you-go overage.
• Team— $99/month (up to 5 seats). 10,000 shared workspace credits, 100 agent runs, GitHub integration, knowledge base, per-member credit budgets.
• Business— $299/month (up to 15 seats). 25,000 workspace credits, 300 agent runs, RBAC, CI/CD integration, priority model routing, and pay-as-you-go overage included.
• Enterprise— Custom pricing. 60,000+ credits, 1,000+ agent runs, custom model routing, on-premise/VPC deployment, SAML SSO, dedicated support, and compliance certifications.

Mindify AI may update, modify, or discontinue any feature of the Service at any time, with reasonable notice where practicable.

3. AI Credits and Usage

The Service uses a credit system to meter AI usage. One (1) credit represents approximately one standard AI request (~500 input tokens + 200 output tokens) using cost-efficient models at an estimated provider cost of ~$0.0032. Credits are non-transferable and expire at the end of each monthly billing period (annual plan credits accrue across the annual cycle).

Credit consumption rates:

• Efficient models (e.g., Claude Haiku, GPT-5.6 Luna, GPT-5.4 Mini, Gemini Flash): 1 credit per request.
• Standard models (e.g., Claude Sonnet, GPT-5.6 Terra, GPT-5.4, Gemini Pro): 2–3 credits per request.
• Premium models (e.g., Claude Opus, GPT-5.6 Sol, GPT-5.5): 6–20 credits per request. Available on Pro and higher plans.
• Agent runs (autonomous multi-step tasks): 10–100 credits depending on tool usage. An estimated range is shown before launching.
• Audio credits (live voice translation): 1 credit per 60 seconds of translated audio (Pro and above). Free plan: hard daily cap of 10 minutes with no credit billing.
• Visual credits (image generation): 5 credits per generated image; 1 credit per image input. Available on Pro and above.

Credit consumption is tracked in real time and displayed in your usage dashboard. All three credit categories (text, audio, visual) draw from the same monthly credit pool.

4. Paid Plans, Billing & Subscriptions

Paid plans are billed monthly or annually in advance. Prices are displayed in USD and may vary by region. Payments are processed by third-party processors (Stripe). Subscriptions automatically renew unless canceled before the renewal date.

Monthly credit caps and hard caps:

• Free: Hard cap at 1,000 credits. Service stops when cap is reached. No pay-as-you-go available.
• Pro: Default hard cap at 2,000 credits. With pay-as-you-go enabled, service continues up to 5,000 credits (overage billed at $0.0048/credit).
• Team: Default hard cap at 10,000 credits per workspace. Overage is available at admin discretion (up to 15,000 with overage enabled).
• Business: Default cap at 25,000 credits. Soft warnings at 70% and 90% usage. Overage enabled by default.
• Enterprise: Negotiated caps. Soft warnings only; no automatic hard cap.

Refunds and cancellations:

• Refunds are provided only where required by applicable law or at Mindify AI's sole discretion.
• Cancellations take effect at the end of the current billing period. Unused credits are forfeited upon cancellation.
• Abuse of trials, promotions, or chargebacks may result in account suspension.

5. Pay-As-You-Go (PAYG) Overage

Pro and higher plans may opt into pay-as-you-go (PAYG) billing for usage exceeding the included monthly credit quota.

• PAYG must be explicitly enabled by the account holder or workspace admin. It is off by default on the Free and Pro plans.
• Overage credits are billed at approximately 1.5× the actual provider cost (currently ~$0.0048 per credit), reflecting infrastructure, support, and risk costs.
• Overages are invoiced at the end of each monthly billing cycle via the payment method on file.
• You may set a monthly overage spending cap. Once reached, the Service will stop processing new credit-consuming requests until the next billing period or until the cap is raised.
• Mindify AI reserves the right to adjust overage pricing with 30 days' notice. Continued use after notice constitutes acceptance of the new rate.

6. Organization Plans (Team, Business, Enterprise)

Team and Business plans are billed at the workspace level. The workspace admin is responsible for all billing, seat management, and compliance within the organization.

• Additional seats beyond the included default (5 for Team, 15 for Business) are billed monthly at $15/seat (Team) or $20/seat (Business), and include additional credits per seat.
• Workspace credits are shared across all members. Admins may set per-member credit quotas to control usage.
• Enterprise agreements are governed by a separate Master Service Agreement (MSA) or Order Form, which takes precedence over these Terms in the event of a conflict.
• 14-day free trials are available for the Team plan and do not require a credit card. A payment method is required to continue after the trial period.

7. Automatic Invoicing

Mindify AI uses Stripe to process payments. After each successful charge — including subscription renewals and PAYG overage invoices — Stripe automatically sends a PDF invoice to the billing email address on file. You are responsible for ensuring a valid billing email is maintained. Invoices are also accessible via the billing portal at any time.

8. Advertisements (Free Tier)

The free version of Mindify Cortex may be supported by ads.

By using the free tier, you agree that:

1. Advertisements may appear before, during, or after interactions.
2. Ads may be contextual or personalized based on usage behavior.
3. Third-party ad networks may be used to deliver advertisements.
4. Attempting to block, interfere with, or modify ad delivery may result in account suspension.

If you prefer an ad-free experience, you may subscribe to Mindify Cortex Pro or a higher plan.

9. User Content

You retain ownership of all content you input into the Service.

By using the Service, you grant Mindify AI a license to:

• Process your content to generate AI responses.
• Improve service quality and detection systems.
• Store anonymized interaction logs for safety, analytics, and performance.
• Comply with legal obligations.

Mindify AI does not sell your personal data.

10. Acceptable Use Policy

You agree not to use the Service to:

• Violate any laws or regulations.
• Generate harmful, hateful, or misleading content.
• Extract model parameters, datasets, or proprietary algorithms.
• Copy, scrape, or mass-export output.
• Misrepresent AI-generated content as professional or factual advice.
• Interfere with ad delivery (free tier).
• Automate requests to circumvent credit metering or rate limits.
• Attempt to harm or disrupt the Service infrastructure.
• Share account credentials to circumvent per-seat or per-user credit limits.

Failure to follow these rules may result in suspension, account termination, and loss of any remaining credits without refund.

11. Intellectual Property

All software, models, branding, design, and content provided by Mindify AI are the intellectual property of Mindify AI, Inc. or its licensors. You may not copy, distribute, or create derivative works except as permitted for normal use of the Service.

12. Privacy

Your use of the Service is governed by the Mindify Cortex Privacy Policy. This includes details on:

• Categories of data collected.
• Use of interaction logs and credit usage data.
• Ad systems and personalization (free tier).
• Data retention and user controls.
• Enterprise data residency and compliance (HIPAA, SOC 2, ISO 27001 upon request).

By using the Service, you consent to our privacy practices.

13. Service Availability

Mindify Cortex is provided on an as-available basis. Mindify AI does not guarantee:

• Uninterrupted uptime.
• Error-free performance.
• Permanent availability of any feature or AI model.
• Specific credit costs remaining fixed (provider pricing changes may affect credit values, with 30 days' notice).

Service may be suspended temporarily for maintenance or security updates. Enterprise customers with SLA agreements are subject to the terms of their Order Form.

14. Disclaimers

Mindify Cortex generates automated responses using third-party AI models from providers including OpenAI, Anthropic, and Google. You acknowledge that:

• AI output may be inaccurate, incomplete, or outdated.
• The Service is not a substitute for medical, legal, financial, or professional advice.
• You assume full responsibility for any actions based on AI responses.
• Credit cost estimates are approximate and based on average token consumption; actual costs may vary.

The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law.

15. Limitation of Liability

To the fullest extent permitted by law, Mindify AI is not liable for:

• Indirect, incidental, or consequential damages.
• Loss of data, profits, or opportunities.
• Errors or limitations in AI-generated content.
• Unexpected credit consumption due to agent loops or misuse.
• Changes in third-party provider pricing that affect credit costs.
• Third-party ads or integrations.
• Account or access issues.

In no event shall Mindify AI's total liability exceed the greater of (a) the amount you paid in the 3 months preceding the claim or (b) $100 USD.

16. Termination

Mindify AI may terminate or limit your access at any time if:

• You violate these Terms.
• You misuse or attempt to circumvent credits, rate limits, or restrictions.
• Legal, safety, or security concerns arise.

Upon termination, any unused credits are forfeited unless otherwise required by law. You may stop using the Service at any time.

17. Updates to the Terms

We may update these Terms periodically. For material changes — including pricing, credit costs, or data practices — we will notify you via the Service or email with at least 30 days' notice where practicable. Continued use after updates constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of Delaware, USA. Disputes will be resolved in the courts of Delaware, except where prohibited by local consumer protection laws.
